Terms and Conditions for Linguistic Services
1. TERMS AND CONDITIONS
All projects requested to this professional imply that
the Client has agreed to these terms and conditions. This T&C is applicable to new Clients, starting July 01, 2012. The parties include Michele Santiago (herein referred to as Linguist) and the new Client (herein referred to as Client).
2. WORKING RELATIONSHIP
The Linguist is an independent contractor and the relationship with the Client does not constitute a work-for-hire agreement.
3. CLIENT OBLIGATIONS
The Client will provide the Linguist with any required technical information and/or reference document and/or terminology that is necessary for the project to be delivered with consistency. The failure to do so implies no room for quality complaints and/or rejections.
The rates are defined as per source word for translation. For editing and proofreading, the rate is calculated per hour. Payment based on word count for the last two tasks is not applicable.
5. PAYMENT TERMS
All projects are to be paid within 30 days from invoice. First-time projects are to be paid up front, a condition for the Linguist to start, regardless of the word count. Exceptions: for projects exceeding 25,000 source words, the Client will pay the Linguist half of the total amount once the project is assigned, a condition for the Linguist to start. The remaining amount is to be paid upon receipt of the first task.
6. INTERIM CHARGES
Total outstanding invoices have a limit of EUR 1000 and they should be settled before any other work can be accepted by the Linguist. The Linguist reserves the right to waive this clause at her sole discretion.
A 30% rush fee applies to projects requested by the Client to be delivered within the same day (minimum 500 words), projects with delivery date requiring work on weekends or holidays, projects with delivery date requiring that more than 2000 words are translated per day/ more than 6000 words are edited per day.
No discount per volume is offered.
A minimum charge of EUR 30 applies to all projects.
A 15% additional fee applies to complex formatting (PDF files, files with images, PPT files).
Once assigned, the Client has 2 hours to cancel a project without any obligations. Otherwise, files or assets for the project are to be turned over to the Client and proportionally billed for the work done by the Linguist up to that point. A minimum charge of EUR 30 applies.
9. DELIVERY ARRANGEMENTS
The delivery format and date will be established once the project is assigned. If changes are requested beyond the scope of the initial parameters of the project, an additional 15% fee applies and additional time might be required.
10. CREDIT LIMITS AND PERIODS
All invoices will be settled within the time agreed. A 1% per late day applies to late payments as penalty. Brazilian laws regarding interest rates are also applicable.
11. DISPUTES ON QUALITY
If the Client is not satisfied with the project delivered by the Linguist, the project must be returned to the Linguist in order for her to assess the problems that must be listed by the Client. If the Client rejects the project, a discount can be granted if serious fault from the Linguist is proven by linguistic examples taken from the project. Note that the Linguist can dispute the examples shown, proving no fault. The discount will be proportional to the examples. The refusal from the Client to pay without proving fault by the Linguist is not acceptable, and therefore subject to charge.
The project remains the intellectual property of the Linguist until invoices are settled (full payments only, including interests whenever applicable).
The Linguist will follow the Non-Disclosure Agreement provided by the Client as signed. If no NDA is requested by the Client, the Linguist binds herself to maintain all documents confidential and not to disclose any information related to any projects assigned to her to third parties.
The Linguist is not liable for any amount exceeding the invoice amount. The Linguist is not liable for any event whether it is associated or not to the project assigned to her. The Linguist takes responsibility only to the extent of the Confidentiality terms.
